1. Definitions
In these Terms & Conditions:
- "Company," "we," "us," "our" refers to Caribou & Quill, operating from 1969 Upper Water Street, Suite 1400, Halifax, NS B3J 3R7.
- "Service" refers to legal document preparation services offered by Caribou & Quill, including will and estate preparation, small business formation, and lease and tenancy agreement services.
- "User," "you," "your" refers to any individual who accesses our website or engages our services.
- "Agreement" means these Terms & Conditions as accepted by you through use of our website or engagement of our services.
- "Content" means all text, images, and materials published on this website.
2. Acceptance of Terms
By accessing this website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, please refrain from using this website or our services.
You must be at least 18 years of age to use our services. By proceeding, you represent that you have the legal capacity to enter into this Agreement.
3. Description of Services
Caribou & Quill provides legal document preparation services — not legal advice. Our services are offered at fixed fees and include:
- Will & Estate Document Preparation (CAD $195): Preparation of wills, powers of attorney, and personal directives in compliance with Nova Scotia provincial requirements.
- Small Business Formation Package (CAD $455): Assistance with federal or provincial incorporation, operating agreements, minute book setup, and business name registration, completed within 3–4 weeks.
- Lease & Tenancy Agreement Services (CAD $910): Drafting and review of commercial and residential lease agreements, including two revision rounds and a consultation call.
Services are available to clients in Canada. We do not guarantee availability in all jurisdictions outside of Nova Scotia.
4. Not a Law Firm
Caribou & Quill is a legal document preparation service and is not a law firm. We do not provide legal advice, legal representation, or legal opinions. Clients who require legal advice specific to their circumstances are encouraged to consult a licensed solicitor in Nova Scotia.
Completing a document through our service does not constitute the establishment of a solicitor-client relationship.
5. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate, complete, and truthful information during intake and consultation
- Notify us promptly if any information provided changes before finalization
- Use documents prepared by Caribou & Quill only for lawful purposes
- Not misrepresent your identity or the nature of your engagement
- Refrain from using our website in a manner that could impair its functionality or harm other users
6. Payment Terms
All services are provided at the fixed fees published on our website at the time of engagement. Fees are quoted in Canadian dollars (CAD) and are inclusive of all standard service elements described per service.
Where government filing fees apply (e.g., for incorporation), these will be disclosed and itemized separately before any filing is initiated.
Payment terms will be confirmed at the outset of each engagement. We do not commence work prior to receipt of agreed payment or a confirmed payment arrangement.
Refund Policy: If an engagement has not yet commenced (intake received but consultation not yet conducted), a full refund may be requested. After consultation, refunds will be considered on a proportional basis relative to work completed. Once documents have been finalized and delivered, no refund is available.
7. Intellectual Property
All content published on this website — including text, design, and layout — is the intellectual property of Caribou & Quill and is protected under applicable Canadian copyright law. You may not reproduce, distribute, or adapt our website content without prior written permission.
Documents prepared by Caribou & Quill on your behalf are provided to you for your personal or business use. The templates and structures underlying those documents remain the property of Caribou & Quill.
8. Service-Specific Terms
Will & Estate Documents: Documents are prepared in accordance with Nova Scotia's Wills Act and related legislation. Clients are responsible for ensuring proper execution of the will in the presence of required witnesses following delivery.
Business Formation: Timelines of 3–4 weeks are estimates subject to government processing times, which may vary. We are not responsible for delays outside of our control at registry offices.
Lease & Tenancy: Two revision rounds are included within the agreed scope. Requests that materially change the nature or scope of the agreement may be subject to a separate engagement.
9. Disclaimers
Services are provided on the basis of information supplied by you. We do not warrant that documents prepared will be suitable for every future circumstance, as laws and personal situations may change. We recommend reviewing estate and business documents periodically or when significant changes occur.
Our website is provided "as is." We make reasonable efforts to maintain its accuracy but do not guarantee that all content is current or error-free.
10. Limitation of Liability
To the fullest extent permitted by Nova Scotia and Canadian law, Caribou & Quill's total liability for any claim arising from our services will not exceed the fee paid for the specific service giving rise to the claim.
We are not liable for indirect, incidental, or consequential damages, including loss of income or legal disputes arising from use or reliance on documents we have prepared, where such use is outside the scope of what was communicated to us during the engagement.
11. Termination
Either party may terminate an engagement before work is finalized. If you wish to discontinue, please notify us in writing. Applicable refunds will follow the refund policy in Section 6. We reserve the right to decline or discontinue an engagement if information provided is materially inaccurate or if the request falls outside our scope of services.
12. Dispute Resolution
We encourage all concerns to be raised with us directly in the first instance by contacting [email protected]. We will make reasonable efforts to resolve disputes informally within 30 days of receiving notice.
If a dispute cannot be resolved informally, it will be subject to the laws of the Province of Nova Scotia and the courts of Nova Scotia will have exclusive jurisdiction, except where mandatory consumer protection laws in your province of residence provide otherwise.
13. General Provisions
These Terms & Conditions, together with our Privacy Policy, constitute the entire agreement between you and Caribou & Quill with respect to your use of this website and our services. If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.
Our failure to enforce any right or provision is not a waiver of that right. These Terms may not be assigned by you without our written consent.
14. Changes to Terms
We may revise these Terms & Conditions from time to time. The "Last Updated" date at the top of this page will reflect any changes. Material changes will be communicated where reasonably practicable. Continued use of our website or services after changes are posted constitutes your acceptance of the revised terms.
